SingTel is committed to achieving high standards of corporate conduct. It recognises the importance of having in place a set of well-defined corporate governance processes to enhance corporate performance and accountability.

The listing of SingTel's shares on the Singapore Stock Exchange ("SGX) and the Australian Stock Exchange ("ASX") subjects SingTel to two sets of listing rules and the requirement to report against two sets of corporate governance principles and recommendations.  Where one exchange has more stringent requirements, SingTel will seek to observe the more stringent requirements.

SingTel’s Full Financial Report for 2007 includes a Corporate Governance Report that describes SingTel’s main corporate governance practices with reference to the SGX and ASX principles of corporate governance and best practice recommendations. Unless otherwise stated in this Corporate Governance Report, those practices were in place for the financial year ended 31 March 2007.   In developing and reviewing its corporate governance policies and practices, SingTel has sought to adopt a balanced approach by observing the spirit, and not just the letter, of the SGX and ASX corporate governance principles, taking into account its evolving needs as well as local and international developments.

SingTel’s Board of Directors now comprises 10 members. 

Membership of the principal Board committees is currently as follows:

·          Audit Committee: Mr Nicky Tan Ng Kuang (committee chairman),
Mr Graham John Bradley and Mr Kai Nargolwala.

·          Compensation Committee: Mr Chumpol NaLamlieng (committee chairman), Mr Heng Swee Keat, Mr John Powell Morschel and Mr Deepak S Parekh.

·          Corporate Governance & Nominations Committee: Professor Tommy Koh (committee chairman), Mr Heng Swee Keat and Mr Kai Nargolwala.

·          Finance & Investment Committee: Mr Chumpol NaLamlieng (committee chairman), Ms Chua Sock Koong and Mr Simon Israel.

·          Optus Advisory Committee: Mr Nicky Tan Ng Kuang (committee chairman), Mr Graham John Bradley, Ms Chua Sock Koong, Mr Simon Israel and Mr John Powell Morschel.
