Terms & Conditions

 1.  Incorporation by Reference
  In addition to the General Terms and SingTel's Specific Terms and Conditions relating to Fixed Line Telephone Service, which terms and conditions are deemed incorporated by reference, the Customer shall be bound by the following Specific Terms and Conditions.
  
 2.  Definition and Interpretation
 a.In these Specific Terms and Conditions, the following words and expressions shall have the following meanings:
   "Client Software" means the software that Customer is required to download into a PC, in order to login and use the Service;
  "Customer" means any person who applies for, subscribes to or utilizes the Service;
  "Fixed Line" means the telephone line provided by SingTel and subscribed by the customer in relation to which the Service will be provisioned on;
  "General Terms" means Singapore Telecommunications Limited's General Terms and Conditions of Service;
  "Minimum Subscription Period" means the minimum period of subscription set out in Clause 5;
  "Service" means the Service known as Video Call on BroadBand which is a video call service provided by SingTel using a Client Software.
 b.  The words and expressions used in these Specific Terms and Conditions, which are defined in the General Terms but not defined in these Specific Terms and Conditions shall have the same meanings as defined in the General Terms unless the context otherwise requires.
 c.  The headings or titles to the Clauses in these Specific Terms and Conditions are to facilitate reference and shall not be referred upon in the construction of any provision of these Specific Terms and Conditions.
   
3.  Minimum Requirement
 a.  To use this Service, the following is required:
  
i.  PC running on Windows XP with at least 64MB RAM; and
ii.  Equipped with a webcam, speaker and microphone, or a webcam and an integrated headset.
 b.  The Customer is responsible for providing all equipment necessary to use the Service.
   
4.  Commencement of Service and Termination
 a.  The Service shall be activated within three (3) working days upon receipt of the Customer's request to activate the Service.
   
5.Subscription Period
 a.  The minimum subscription for the Service shall be :
  
i.  A period of three (3) months; or
ii.  Such other period as may be stipulated by SingTel as the Minimum Subscription Period when the Customer applies for the Service. Thereafter, the Service shall continue in force until terminated by SingTel or the Customer.
   
6.Termination
 a.  After the expiry of the Minimum Subscription Period, the Customer may terminate the Service by giving SingTel not less than one (1) calendar month's prior written notice.
 b.  If the Service is terminated before the expiry of the Minumum Subscription Period by the Customer for any reason whatsoever, or by SingTel as a consequence of any breach by the Customer of any of the obligations or duties of the Customer then, despite any provision to the contary in the General Terms, the Customer shall pay SingTel the difference between:
  
i.  the total Fees and Charges that SingTel would have imposed or charged the Customer for the Service, including without limitation for the use of the Service for the Minimum Subscription Period, had the Service not been terminated prior to the expiry of the Minimum Subscription Period; and
ii.  the total amount paid to SingTel as subscription and usage fees or charges for the Service for the period during which the Service was subscribed by the Customer;and all the Fees and Charges that were discounted, waived or reduced by SingTel on the basis that the Customer has subscribed for, or would utilize, the Service for the Minimum Subscription Period may be reinstated and imposed by SingTel on the Customer retroactively as from the date of commencement of the Service.
 c.Where the Customer's Fixed Line is terminated for any reason whatsoever, the Service shall also be terminated. Where such termination of the Service is within the Minimum Subscription Period, the Customer shall be liable for all Fees and Charges under clause 6.2.
 d.Where the Customer terminates the Service, this shall not constitute a termination request for the Fixed-Line Telephone Service and the Customer shall still be liable for the Fixed-Line Telephone Service Fees and Charges.
 e.SingTel reserves the right to suspend, restrict, or terminate the Customer's access to the Service for any reason whatsoever. No notice will be required to be given of such action and SingTel shall not be liable in damages or otherwise for such suspension, restriction or termination.
   
7.Service Requirements and Limitations
 a.Upon successful application for the Service, the customer will receive their Login Name and Password by post.
 b.The Customer shall protect the secrecy of the assigned Login Name and Password at all times. If the Customer suspects that access to the Service has been compromised, the Customer shall inform SingTel immediately.
 c.The Customer agrees not :
  
i.  to or not to allow or permit any other person to use the Service to violate any other person's rights, or interfere with another person's use of the Service;
ii.  to carry out any activities which are actually or potentially injurious to any other person, or to SingTel's operations or reputation; or
iii. to infringe any patent, trademark or copyright or any intellectual property right of any third party or any SingTel Group Corporation.
 d.The Customer may not modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the Client Software or permit others to do so; or sell, rent, lease, grant a security interest in, or otherwise transfer any rights in, or remove or modify any proprietary notices or labels in the Client Software.
 e.SingTel may at any time, and at its discretion, upgrade the Client Software.
   
8.Consent to Use and Disclose Customer Information and Data
 a.The Customer agrees that SingTel shall be entitled to use or disclose any information or data disclosed by the Customer in accordance with Clause 15 of the General Terms located at the SingTel website at http://www.singtel.com (or available from SingTel on written request). The Customer is entitled to withdraw such consent in the procedures as prescribed by SingTel from time to time.
 b.The Customer further acknowledges and agrees that SingTel may access, preserve, monitor, use and disclose any information relating to the Service by the Customer as reasonably necessary to provide, maintain and improve the Service, and to respond to requests for customer service.
   
9.General
 a.The Customer shall be bound by and shall fully observe and comply with all the General Terms as well as such other terms and conditions as may be agreed or accepted by the Customer. The rights and protections conferred on SingTel under these Specific Terms and Conditions shall be additional to the rights and protections conferred on SingTel under the General Terms and any other terms and conditions agreed or accepted by the Customer.
 b.Any Clause in the General Terms, these Specific Terms and Conditions, or any other terms and conditions as may be agreed or accepted by the Customer, that is invalid, unenforceable or illegal shall be enforced as nearly as possible in accordance with its terms, but shall otherwise be deemed severed and shall not affect the enforceability to the fullest extent permitted by law.
 c.SingTel reserves the right to alter, modify, add to or otherwise vary these Specific Terms and Conditions.
